Inversiones Acadio absorbs two companies and multiplies its capital

Inversiones Acadio S.A. absorbs by incorporation Inversiones Patria Limitada and Inversiones Ebla S.A., in a corporate operation that multiplies its share capital from $127,041,871 to $2,254,590,788. The agreement was adopted in an extraordinary shareholders’ meeting and was published in the Official Gazette of the Republic of Chile, No. 44,531, on Saturday, August 22, 2026, under reference CVE 2859732.

The merger was formalized before the notary María Soledad Lascar Merino, head of the thirty-eighth Notary Office of Santiago, through a deed granted on June 30, 2026, with Repertory No. 33,564. The absorbed companies shall be extinguished, dissolved, and liquidated, and Inversiones Acadio S.A. assumes the status of legal successor and continuator of both, acquiring all of their assets, permits, authorizations, and liabilities.

The merger operation

The Extraordinary Shareholders’ Meeting of Inversiones Acadio S.A., held on June 25, 2026, approved the merger by incorporation of the two companies. June 30, 2026, was set as the “merger date” referred to in Article 158 of the Corporations Regulation, the day on which the agreements produce their legal, tax, and financial effects.

The operation was based on the values arising from the books and accounting records of the three companies as of December 31, 2025, as well as the expert report of the expert Claudia Paola Sossa Musumeci, issued on June 23, 2026, and notarized on June 24, 2026.

Capital increase and issuance of shares

To materialize the merger, Inversiones Acadio S.A. agreed to increase its capital from $127,041,871, divided into 127,041,871 shares with no par value, to $2,254,590,788, divided into 7,057,881,722 shares, through the issuance of 6,930,839,851 new shares.

  • The new shares shall be paid as of June 30, 2026, with the equity of the absorbed companies.
  • The distribution and allocation will be carried out according to the exchange ratio suggested by the expert in her report.
  • The partners of the absorbed companies will exchange their rights for shares of Inversiones Acadio S.A..
  • The delivery of the titles will take place within 120 calendar days following June 30, 2026.

Companies and partners involved

The three companies are registered in the Commercial Registry of Santiago:

  • Inversiones Acadio S.A., registered at page 4122 No. 2,640 of 2015.
  • Inversiones Ebla S.A., registered at page 40526 No. 30,162 of 2004.
  • Inversiones Patria Limitada, registered at page 13,794 No. 6,829 of 1991.

The partners of Inversiones Patria Limitada who approved the merger are Gonzalo Sarquis Said, acting on his own behalf and as a representative of Inversiones Ebla S.A., and María Francisca Íñiguez Domínguez, all domiciled in Santiago, Avenida Presidente Riesco No. 5711, office 1202, commune of Las Condes.

Impact of the operation

The merger consolidates assets of more than $2.254 billion into a single investment company, with a broad corporate purpose that encompasses investments in securities, real estate, commercial consultancy, and the distribution of food products. The operation, of significant scale due to the volume of capital and shares issued, reinforces the position of Inversiones Acadio S.A. as an investment vehicle in the Chilean market and simplifies the group’s corporate structure.
