Inprosec Auto spins off its cybersecurity business into a new company

Inprosec Auto, S.L. will spin off its information security consulting business in favor of the newly created company Inprosec Information Security, S.L., according to the agreement unanimously adopted by its universal and extraordinary general meeting of partners on September 24, 2026. The operation is published in the Official Gazette of the Mercantile Registry (BORME) no. 189, dated September 30, 2026, in the second section of announcements and legal notices, page 6528, with the official reference BORME-C-2026-5256.

The spin-off is governed by Royal Decree-Law 5/2023, of June 28, which transposes European directives regarding structural changes in commercial companies. The announcement specifies that the board of Inprosec Auto, S.L. approved the operation in accordance with the simplified procedure provided for in articles 9 and 71 of said regulation, and that the partial spin-off project was formulated by the sole administrator of the spun-off company on June 30, 2026. The company is headquartered in Vigo (Pontevedra) and its sole administrator is Iago Fortes Caramés.

A partial spin-off with universal succession

The operation consists of the segregation and bulk transfer, by universal succession, of the branch of activity comprising the information security consulting business. The beneficiary is a newly created company, Inprosec Information Security, S.L., which will acquire the segregated assets assigned to that branch of activity.

Inprosec Auto, S.L. will continue with the development of the rest of its activities and will not be extinguished as a result of the spin-off.

No treasury shares or cash compensation

The social shares of the beneficiary company will be attributed directly to the partners of the spun-off company, in proportion to their share in the social capital. The announcement emphasizes two points:

• There will be no treasury shares.
• There will be no cash compensation of any kind.

One month to consult the agreements

In accordance with articles 10 and 13 of the applicable law, the announcement expressly records the right of partners and creditors to obtain the full text of the agreements adopted. The period is one month starting from the publication of the final spin-off announcement.

Registry background of the spun-off company

The data published in the gazette itself allow for the reconstruction of the registry trajectory of the spun-off company:

• Incorporated on November 14, 2017, with registered office at calle García Barbón 112, 5º B, Vigo, and an initial capital of 3,000 euros.
• Initial corporate purpose: research activities (CNAE 8030), IT consultancy (CNAE 6202), and other information and information technology services (CNAE 6399 and 6209).
• Sole shareholder upon incorporation: Remote Consulting Services, S.L.; sole administrator: Iago Fortes Caramés.
• In 2019, it increased its capital to 20,613 euros and ceased to be a single-member company.
• In 2021, it amended Article 11 of its bylaws regarding the remuneration of the administrative body.

The spin-off of the cybersecurity branch legally separates a specialized technology business from the rest of the activity of Inprosec Auto, S.L., which affects the structure with which the company will serve its corporate clients and the assignment of its technical staff. For shareholders and creditors, the announcement opens a one-month period to examine the agreements, while the new company assumes the assets linked to information security consultancy by universal succession.
