Hispapost renews its entire board with five holding companies at the helm

Hispapost renueva todo su consejo con cinco sociedades holding al frente

Hispapost SA has completely renewed its board of directors: the five individual directors and their executive positions have ceased, and in their place, five holding companies have been appointed, with NRR76 HOLDING SL as the new president and BUSSINES POST SL as vice president. The agreement was registered in the Mercantile Registry of Madrid on October 20, 2026, and the Official Gazette of the Mercantile Registry (BORME) publishes it in issue number 207, dated October 27, 2026, First Section, with reference BORME-A-2026-207-28 and act number 479915.

The entry, which is listed under registration sheet S 8, H M 679701, I/A 17, records in a single entry the cessations, resignations, and appointments, as well as the changes in the presidency, vice presidency, and delegation of powers. This is, therefore, a complete handover of the administrative body and not a partial substitution: all directors who appeared until now have disappeared, and the board is now occupied exclusively by companies.

Hispapost SA is a postal operator established in 2018 with a subscribed capital of 60,000 euros, domiciled at Avenida de los Premios Nobel 37, in Torrejón de Ardoz (Madrid), whose corporate purpose includes the provision of postal services, advertising, and parcels, including the collection, sorting, transport, distribution, and delivery of shipments. The BORME disseminates these acts through the First Section, dedicated to entrepreneurs and registered acts, with the province of Madrid as the jurisdiction.

Five companies occupy the five seats

The new registered directors are, in this order, NRR76 HOLDING SL, BUSSINES POST SL, CRR70 HOLDING SL, MAINDANA94 SL, and COMERCIALIZADORA IZARO S.L. All of them are legal entities, so the board is now composed entirely of companies acting as investment vehicles.

  • NRR76 HOLDING SL: director and president of the board.
  • BUSSINES POST SL: director and vice president.
  • CRR70 HOLDING SL: director.
  • MAINDANA94 SL: director.
  • COMERCIALIZADORA IZARO S.L.: director.

The BORME does not detail in this entry the designation of individual representatives to exercise the functions inherent to each position, a detail that does appear in other registry entries and which, in the case of the first three holdings, has historically fallen to members of the Rufo Rodríguez family.

Cessation of the outgoing board and delegation of powers

The registration records the cessation or resignation of the five directors who occupied the body until now: Ildefonso Asier de Urizar Díaz, Inmaculada Rufo Rodríguez, María del Carmen Rufo Rodríguez, Ignacio Rufo Rodríguez, and Iñigo Bustamante Martín.

  • Ignacio Rufo Rodríguez: ceases as director, chairman, and chief executive officer.
  • Iñigo Bustamante Martín: ceases as director and vice-chairman.
  • Inmaculada Rufo Rodríguez: ceases as director.
  • María del Carmen Rufo Rodríguez: ceases as director.
  • Ildefonso Asier de Urizar Díaz: ceases as director.

The most relevant point is the disappearance of the figure of the chief executive officer: the entry records their cessation, but does not include the appointment of a substitute for that position, which remains vacant in the new composition. The chairmanship and vice-chairmanship, previously held by natural persons, pass into the hands of two companies.

Continuity of family control with a different corporate architecture

The handover does not alter the logic of the company’s control, but rather its legal form. The incoming holding companies had already acted as directors and commissioners in other companies linked to the same business group, and their representatives have traditionally been Ignacio Rufo Rodríguez, María del Carmen Rufo Rodríguez, and Inmaculada Rufo Rodríguez, the same names that now leave the board of Hispapost SA as natural persons.

The operation comes after a period of stability in the administrative body, which in 2024 was re-elected as a block and in which Ignacio Rufo Rodríguez held both the chairmanship and the delegation of powers, with Iñigo Bustamante Martín as vice-chairman. The new structure concentrates representation in companies and leaves undesignated, at least in the published act, who exercises the daily executive management.

The change is part of a context of corporate reorganization of the group, in which holding companies have been assuming the ownership of positions instead of natural persons, including partial spin-off operations and the reorganization of holdings.

Why it matters

For the clients, suppliers, and competitors of Hispapost SA, the relevant fact is not only the change of names, but the absence of a designated chief executive officer in the same entry: the company remains governed by a board entirely composed of corporate entities, with the chairmanship in NRR76 HOLDING SL and the vice-chairmanship in BUSSINES POST SL, which may modify the way executive decisions are made and how the postal operator’s representatives are identified to third parties. The act was registered on October 20, 2026, and the bulletin makes it public on October 27, 2026.
