HeliaDES reorganizes nine solar subsidiaries under a single partner in Madrid

Nine companies declared single-shareholder in favor of HeliaDES
The Official Gazette of the Mercantile Registry (BORME) issue number 157, corresponding to Monday, August 17, 2026, records entries 380975 to 380983 in the First Section (Business owners, registered acts), relating to the province of Madrid. In all of them, HeliaDES Fotovoltaica SL is constituted as the sole shareholder of each of the entities of the Oneland Inversiones group, upon the single-shareholder status of each company being declared.
The nine affected subsidiaries are: Oneland Inversiones 2 SL, Oneland Inversiones 3 SL, Oneland Inversiones 4 SL, Oneland Inversiones 5 SL, Oneland Inversiones 6 SL, Oneland Inversiones 7 SL, Oneland Inversiones 8 SL, Oneland Inversiones 9 SL and Oneland Inversiones 11 SL. All entries were formalized on August 10, 2026 at the Central Mercantile Registry (Section 8, Madrid Sheet), as stated in document BORME-A-2026-157-28.
Identical resignations and appointments in the nine entities
In each of the nine companies, exactly the same corporate governance operation takes place. The resignation —or removal— of Gilarranz Martín Santiago as joint managing director is recorded, and simultaneously Rueda Jiménez Fernando is appointed in his place, also with the position of joint managing director.
This pattern is replicated without any variation in the nine entries (numbers 380975 to 380983 of the BORME), which points to a coordinated group restructuring operation, in which the parent company, HeliaDES Fotovoltaica SL, assumes sole control and unifies the management of all subsidiaries under the same person.
Transfer of registered office to Madrid
In addition to the declaration of single-shareholder status and the change of director, each of the nine entities requests and obtains the change of registered office. The new registered address of all subsidiaries is set at Calle Musgo 2, 1.º C, Madrid.
The coincidence of the address in the nine entries reinforces the conclusion that this is a centralized grouping, probably to manage the group’s portfolio of photovoltaic assets from a single operating headquarters.
