Treasury authorizes the state-owned company Inversión Mixta Piedras Negras

The Ministry of Finance and Public Credit (SHCP) authorized the constitution of a new Majority State-Owned Enterprise named “Inversión Mixta Piedras Negras”, S.A. de C.V., which will operate as a promoting and structuring entity for strategic infrastructure projects. The resolution, signed by Secretary Édgar Abraham Amador Zamora, was published in the Official Gazette of the Federation (DOF) on Tuesday, August 18, 2026, in the Executive Branch section, and will enter into force the day following its publication.

The measure is part of the National Development Plan 2025-2030 and the National Development Financing Program 2025-2030 (PRONAFIDE), which promote mixed investment schemes for infrastructure under the principle of shared prosperity, in line with the Mexico Plan. The new company will have a primarily public purpose and will prioritize the public interest and the financial sustainability of projects over strictly mercantile goals.

Mixed Capital and Shareholding Structure

The company is constituted as a Variable Capital Corporation (Sociedad Anónima de Capital Variable), with its registered office in Mexico City and a minimum fixed capital of 1,000,000 pesos, represented by 100 registered shares of 10,000 pesos each. The initial state participation is divided between two shareholders:

  • Ministry of Finance and Public Credit, with 510,000 pesos from budgetary sources, holding 51% of the shares.
  • National Infrastructure Fund, with 490,000 pesos from its own assets, as a minority shareholder with 49%.

The shares are divided into two series: Series “G”, which represents the fixed capital and can only be subscribed to by the Federal Government, its trusts, and parastatal entities; and Series “A”, which represents the variable capital, of unlimited amount and open to private participation.

Purpose and Scope of the Company

The company will serve as a promoting, articulating, coordinating, and structuring entity for strategic, priority, and public interest infrastructure projects. Its purpose encompasses economic, logistical, commercial, border, customs, energy, hydraulic, digital, mobility, connectivity, and transport development, as well as national productive strengthening, competitiveness, and foreign trade.

The constitution was favorably ruled by the Inter-Secretarial Commission on Public Expenditure, Financing, and Divestment through Agreement 26-E-II-1, and the General Directorate of Mercantile Normativity of the Ministry of Economy authorized the use of the corporate name. The Budgetary Design, Control, and Expenditure Monitoring Unit granted the budgetary sufficiency for the 2026 fiscal year through official letter 411/UDPCSG/2026/18194.

Financing and Operation

The National Infrastructure Fund, public trust number 1936 administered by the National Bank of Public Works and Services (Banobras) as the fiduciary institution, approved its investment through agreement CT/2ª-ORD/02-JUNIO-26/XVII-A. Incorporation expenses will be covered by the Fund’s assets, while operating expenses will be financed through private participation and the resources generated by the activity itself, without authorizing additional budgetary resources in the current or subsequent fiscal years.

The Public Credit and International Affairs Unit of the Ministry of Finance must send a certified copy of the notarial deed of incorporation to the Federal Fiscal Attorney’s Office, and the Ministry of Anti-Corruption and Good Governance will oversee compliance with the resolution.

With this new company, the federal Government consolidates a mixed-capital instrument to boost strategic infrastructure on the northern border, articulating public and private resources with the backing of the National Infrastructure Fund. The measure seeks to accelerate connectivity, logistics, and regional development projects with verifiable economic impact, under a scheme that prioritizes financial sustainability and social well-being.
