Gades 2000 splits into five real estate companies and is extinguished without liquidation
Por FactBox Admin

Promociones Inmobiliarias Gades 2000, S.L. will cease to exist as a company to become five distinct companies. Its sole shareholder, González y Tello, S.L., agreed on October 15, 2026, to the total spin-off of the real estate company, which will be extinguished through dissolution without liquidation and will distribute its entire assets among five newly created companies. The agreement was made public in the Official Gazette of the Mercantile Registry (BORME) no. 214, of November 6, 2026, Second Section, with the official reference BORME-C-2026-5865.
The operation is supported by Article 10 of Royal Decree-Law 5/2023, of June 28, transposing directives on structural modifications of companies. The decision was adopted in a universal meeting and unanimously by the sole shareholder, meaning there were no opposing votes that would trigger the right of separation. The spun-off company, domiciled in Cádiz, is registered in the Mercantile Registry of that province with registration data volume 2375, folio 220, page CA 18460, and its sole administrator is Javier González Tello, who signed the announcement in Cádiz on October 29, 2026.
This is not the company’s first restructuring. In July 2020, the then Promociones Inmobiliarias Gades 2000, S.L.U. already executed a partial spin-off, without extinction, by which it transferred to Inmobiliaria Muelle Santa Rosalía, S.L.U. all of its shares in Inversiones Turísticas Calas Torrebermeja, S.L., according to the announcement published in BORME no. 151, of August 6, 2020 (BORME-C-2020-4326). At that time, Law 3/2009 on structural modifications was used; now the applicable framework is the royal decree-law of 2023.
Five beneficiaries for a single set of assets
The assets of the spun-off company will be divided into five parts, transmitted equally in block and by universal succession, each to a company constituted for this purpose. The beneficiaries are:
- Lantana Patrimonial, S.L.
- Guardacanton Activos, S.L.
- Triada Patrimonial, S.L.
- Fundamento Activo, S.L.
- Arrenda Patrimonial, S.L.
All will be subrogated to the rights and obligations of the portion of assets attributed to them, according to the detail of assets and liabilities contained in the total spin-off project drafted and signed by the administrative body of the spun-off company. The shares of the five new companies will be allocated to the sole shareholder —González y Tello, S.L.— in proportion to its rights in the capital of the company being extinguished, such that the ultimate control of the business remains unchanged.
Without administrator or expert reports
The announcement specifies which documentation has not been necessary in this case. Since all beneficiaries are newly created and their shares are attributed to the sole shareholder, the regulation exempts:
- The administrators’ report on the spin-off project.
- The independent experts’ report.
- The spin-off balance sheet.
The legal coverage for this waiver is Article 71 of Royal Decree-Law 5/2023. The agreement does, however, include the project with the detailed distribution of assets and liabilities among the five recipient companies.
One month for creditors to respond
The published text recalls the right of shareholders and creditors to obtain the full text of the agreement, which is available at the registered office of the spun-off company. Furthermore, creditors may exercise the rights recognized under Article 13 of Royal Decree-Law 5/2023 within one month from the publication of the announcement, that is, from November 6, 2026. Universal succession implies that each beneficiary assumes the debts of the portion of assets received; therefore, the one-month period is the effective protection window for those holding credits against Gades 2000, including suppliers, construction contractors, and financial institutions.
Impact on the Andalusian real estate market
The operation fragments a real estate company with more than a decade of activity in the province of Cádiz and a history of segregating tourist and real estate assets into five companies. For the sector, the division allows for the separation of portfolios—land, operating assets, and leased assets, judging by the names of the beneficiaries—under different owners, although the announcement does not detail the value or composition of each lot. For creditors and employees, the change of debtor is the relevant fact: the extinction without liquidation transfers obligations to five new companies that are liable only with the assets they receive.
