The funeral group Flores Memora, S.L.U. has decided to absorb Funeflor, S.L.U. and Mediagén, S.L.U., according to the announcement published in the Boletín Oficial del Registro Mercantil (BORME) No. 175 of September 10, 2026, under reference BORME-C-2026-4920.

The decision was made on September 3, 2026, by the sole shareholders of the three companies, acting as the general assembly, in accordance with the common merger project signed by the administrative bodies on June 24, 2026. The operation falls under Article 10.1 of Real Decreto-ley 5/2023, of June 28, which governs company mergers and acquisitions (LME).

An operation within the Memora funeral group

Flores Memora, S.L.U. acts as the absorbing company, while Funeflor, S.L.U. and Mediagén, S.L.U. are the absorbed companies. All are affiliated with the Memora Servicios Funerarios group, one of the major players in the funeral sector in Spain.

The announcement was signed in Barcelona on September 3, 2026, by Roger Gilabert i López, non-director secretary of the board of directors of Funeflor, and by Romina Pueyo Blas, the natural person representing Memora Servicios Funerarios, S.L.U., and sole administrator of Mediagén and Flores Memora.

Rights of creditors and employees

The merger law recognizes specific rights for the parties affected by the operation:

  • Creditors of the merged companies may obtain the full text of the decisions adopted and the merger balance sheets.
  • Employee representatives of the absorbed companies and employees of the absorbing company have the same rights to information.
  • An audit report regarding the balance sheet of the absorbing company is also made available.
  • Interested parties may exercise the rights recognized by the LME under the conditions provided by law.

Scope of the operation

This merger by absorption simplifies the legal structure of the Memora funeral group by grouping the activities previously divided between Flores Memora, Funeflor, and Mediagén under a single entity. For creditors and employees, the operation opens a period during which they can assert their rights before the final consolidation of the merger.
