Flores Memora absorbs Funeflor and Mediagén in the funeral sector

The company Flores Memora, S.L.U. has agreed to the merger by absorption of Funeflor, S.L.U. and Mediagén, S.L.U., according to the announcement published in the Official Gazette of the Mercantile Registry (BORME) number 175, dated September 10, 2026, page 6135. The decision was adopted on September 3, 2026, by the sole shareholders of the three companies, who exercised the functions of the General Meeting, and is registered in the mergers and acquisitions section of the gazette.

The operation is formalized under Royal Decree-Law 5/2023, of June 28 (the Structural Modifications Law, LME), whose article 10.1 requires the publication of the agreement. The common merger project was signed by the administrative bodies of the involved companies on June 24, 2026, and the announcement bears the official reference BORME-C-2026-4920.

Involved Companies

The merger is structured around one absorbing company and two absorbed companies, all domiciled within the Barcelona area:

• Flores Memora, S.L.U., absorbing company.
• Funeflor, S.L.U., absorbed company.
• Mediagén, S.L.U., absorbed company.

The integration is carried out via absorption, such that the absorbed companies transfer the entirety of their assets to the absorbing company, which succeeds them by universal title.

Rights of Creditors and Workers

The announcement expressly recalls the rights granted to the groups affected by the restructuring. Both the creditors of the merged companies and the workers’ representatives of the absorbed companies, as well as the workers of the absorbing company, may exercise the powers recognized in the LME.

Specifically, these groups have the right to obtain the full text of the decisions adopted, the merger balance sheets, and the audit report regarding the balance sheet of the absorbing company. The deadline and conditions for exercising such rights are governed by the provisions of the structural modifications regulations.

Signature and Representation

The announcement appears signed in Barcelona on September 3, 2026, by the representatives of the involved companies:

• Mr. Roger Gilabert i López, non-director secretary of the Board of Directors of Funeflor, S.L.U.
• Ms. Romina Pueyo Blas, natural person representing Memora Servicios Funerarios, S.L.U., sole administrator of Mediagén, S.L.U. and Flores Memora, S.L.U.

The operation consolidates the position of Flores Memora in the Barcelona funeral market by integrating the activities of Funeflor and Mediagén under a single corporate structure. For clients and suppliers in the sector, the merger implies the unification of management and the continuity of services under the absorbing company, while creditors and workers retain the legal guarantees provided for in the structural modifications regulations.
