Famited Holdings moves its headquarters to Luxembourg and maintains its legal personality

The universal and extraordinary general meeting of shareholders of Famited Holdings, S.L. unanimously approved on October 23, 2026, the intra-European cross-border conversion of the company from Spain to a new registered office in Luxembourg, at number 8 Rue de la Grève, L-1643, maintaining its legal personality. The agreement is made public in the Second Section of the Official Gazette of the Mercantile Registry (Boletín Oficial del Registro Mercantil) number 206, dated October 26, 2026, page 6980, under the official reference BORME-C-2026-5630.

The legal framework of the operation

The publication is based on Royal Decree-Law 5/2023, of June 28, which transposes European directives on structural modifications of commercial companies (the LME) into Spanish legislation. Rights of shareholders and creditors

The announcement expressly states, for the purposes of Article 10 of the LME, the right of shareholders and creditors to obtain the full text of the approved agreements and the balance sheet of the cross-border conversion, which are available at the registered office and may be requested for free delivery or shipment.

Additionally, creditors may exercise the right granted to them by Article 13 of the LME within a period of three months from the publication of the project. Taking the publication of the deposit on September 22, 2026, as a reference, that period would expire around December 22, 2026.
