Famited Holdings moves its registered office from Madrid to Luxembourg

FAMITED HOLDINGS SL has filed with the Commercial Registry of Madrid the cross-border structural modification project that transfers its registered office from calle Serrano 51 in Madrid to 8, Rue de la Grève, L-1643, in Luxembourg. The project was signed on September 9, 2026, and the filing is published in the Official Gazette of the Commercial Registry (BORME) number 186, corresponding to September 25, 2026, with the official reference BORME-B-2026-186-28. The operation entails the company’s exit from the Spanish registry and its continuity as a Luxembourgish entity.

The announcement appears in the First Section (Entrepreneurs), within the heading “Other acts published in the Commercial Registry,” under the label “Filing of Transformation Project,” with order number 582 and on page 45383. The text identifies the company with its registration sheet S 8, H M 585043 and states its current address as C/ SERRANO 51 1 IZ (MADRID).

The filing was registered on September 15, 2026, according to registration I/A 12, and had a first reflection in the BORME three days prior: number 183, of September 22, 2026, already included the entry under the heading “Other concepts” with order number 424174 and reference BORME-A-2026-183-28. This Friday’s publication thus completes the sequence of registry publicity for the file.

A company with 10.2 million in capital and a sole administrator

The company’s registry history in the BORME allows for the reconstruction of its profile. In December 2016, it increased its capital by 1,700,000.00 euros, up to 5,200,000.00 euros (BORME-A-2016-241-28), and in April 2019, it carried out a second increase of 5,000,000.00 euros, which raised the subscribed capital to 10,200,000.00 euros (BORME-A-2019-72-28).

In July 2020, there was a change in administration: FANG HU BIN ceased as sole administrator and DAI LEPING was appointed to the position (BORME-A-2020-131-28). In the chapter on powers of attorney, the BORME registered the appointment of HU XIA YUYAN in 2016 and their revocation in March 2023, along with the appointment of XIANG YE, whose power was revoked on May 21, 2026 (BORME-A-2026-100-28).

Background: from Serrano 51 to Rue de la Grève

The now-announced relocation is not the company’s first change of address. In September 2016, it registered its address at calle Serrano 51, 1.º izquierda, Madrid (BORME-A-2016-193-28), the address it currently maintains and which it is vacating with this operation.

The chosen destination, Luxembourg, has already appeared in similar filings published by the BORME. In April 2024, LIBERTY INTERNATIONAL EUROPEAN HOLDINGS, SL, with its address at Paseo de la Castellana 31 in Madrid, filed its cross-border transformation project for relocation to Rue Léon Laval, L-3372 Leudelange, in the Grand Duchy of Luxembourg (BORME-B-2024-69-28).

The relevance of the news is twofold. On one hand, it confirms a new corporate offshoring from Madrid toward a more favorable tax jurisdiction, with the resulting effects on the taxation of the company and its partners. On the other, the filing of the project opens the publicity and information period provided for these operations, during which creditors and partners can learn the conditions of the relocation before the exit from the Spanish registry is finalized.
