Explotacions Forestals Garriga transforms into Garriga Immobles SL

The civil society Explotacions Forestals Garriga S.C., with NIF J17639204, has unanimously agreed to its transformation into a limited liability company, passing to operate under the new name Garriga Immobles, S.L. The agreement was adopted by the Universal Meeting of partners on August 14, 2026, and was made public in the Official Gazette of the Mercantile Registry number 159, of August 19, 2026, page 5956.

The operation is formalized under Article 10 of Royal Decree-Law 5/2023, of June 28, which regulates the transformation of entities without their own legal personality into commercial companies. The transformed company retains its legal personality, such that the conversion does not entail dissolution or liquidation, but rather a mere adaptation of the corporate type.

Changes to object, capital, and registered office

The transformation entails a comprehensive restructuring of the entity, which abandons its original forestry activity to orient itself toward the rural real estate sector. The approved agreements include:

• The modification of the corporate object, which will now focus on real estate activity.
• The increase of the company’s share capital.
• The transfer of the registered office to Avinguda de Catalunya, nº 120, C.P. 17834 de Porqueres (Girona).
• The adaptation of the corporate bylaws to the new limited company type.
• The approval of the transformation balance sheet.

Rights of partners and creditors

In accordance with applicable regulations, it is hereby noted that partners and creditors of the company have the right to obtain the full text of the adopted agreements and the presented transformation balance sheet. This right guarantees the transparency of the process and allows interested parties to know the conditions of the conversion in detail.
