Estación de Autobuses de Badajoz, S.A. has absorbed its subsidiary Explotaciones Comerciales Estación de Badajoz, S.A., in a corporate restructuring operation that is part of the reorganization process of public transport in Extremadura. The agreement was approved on September 10, 2026, by the partners of the absorbed entity and by the sole shareholder of the absorbing entity, and was made public in the Official Gazette of the Mercantile Registry (BORME) number 179, dated September 16, 2026, page 6217, with reference BORME-C-2026-4994.

The operation is processed under Article 10 of Royal Decree-Law 5/2023, of June 28, which regulates the structural modifications of commercial companies (LME). As a result of the merger, the absorbed company is dissolved without liquidation and all its assets are transferred in block to the absorbing company, which acquires all its rights and obligations by universal succession.

The merger falls under the simplified regime provided for in the LME, which exempts companies from certain formalities when legal circumstances are met. According to the announcement, it has not been necessary to previously publish or deposit the documents required by law, nor to prepare the administrators’ report on the merger project or the experts’ report, in accordance with the provisions of articles 9.1 and 53.1 of the same legal text.

This simplification is a response to the group structure in which both companies are integrated, which streamlines the asset integration and reduces the costs of the process.

Rights of Partners and Creditors

The announcement expressly records the right of the partners and creditors of the affected companies to obtain the full text of the agreements adopted and the merger balance sheets. Those interested may exercise this right before the entities themselves.

  • Partners of both companies: access to the full text of the agreements and the merger balance sheets.
  • Creditors: the same right to information regarding the terms of the operation.
  • Service users: the merger does not alter the provision of the bus station service, which continues under the absorbing company.

Signature and Representation

The agreement was formalized in Badajoz on September 10, 2026, by Mr. Enrique Aguado Rubio, in his capacity as CEO of Damas, S.A., sole administrator of both Estación de Autobuses de Badajoz, S.A. and Explotaciones Comerciales Estación de Badajoz, S.A., confirming the integration of both entities into the same business group.

The absorption consolidates the management of the Badajoz bus station and its commercial operations into a single company, simplifying the group’s corporate structure. For users of Extremadura’s public transport, the operation entails no changes to the service, but rather greater administrative and financial efficiency in the management of an infrastructure key to the region’s mobility.
