Envases Plásticos del Ter separates its logistics into Enplater Logistics

Envases Plásticos del Ter, S.A. has agreed to spin off its autonomous business branch of logistics, transport, and storage of intra-group products to the beneficiary company Enplater Logistics, S.L., in a group restructuring operation approved unanimously. The agreement was adopted at the Extraordinary and Universal General Shareholders’ Meetings held on August 14, 2026, and is published in the Official Gazette of the Mercantile Registry (BORME) number 160, dated August 20, 2026, page 5971.

The operation is formalized as a spin-off by segregation, a structural modification mechanism regulated by Royal Decree-Law 5/2023, of June 28, which modifies the regime of structural modifications of commercial companies. The announcement is registered in the Second Section of the gazette, dedicated to announcements and legal notices, under the official reference BORME-C-2026-4783.

The spin-off operation

The spin-off consists of the bulk transfer, by universal succession, of the autonomous business branch of logistics, transport, and storage of intra-group products from Envases Plásticos del Ter, S.A. (the segregated company) to the existing beneficiary Enplater Logistics, S.L., under the terms and conditions provided in the common spin-off project.

As consideration, the segregated company itself receives a share in the beneficiary company corresponding to the contribution made. The beneficiary is subrogated to all rights and obligations received from the segregated company.

Rights of shareholders and creditors

The regulation establishes guarantees for those affected by the operation:

• Shareholders may obtain the full text of the agreements adopted and the presented spin-off balance sheet.
• Creditors of the segregated company may exercise the rights corresponding to them within the periods and terms provided in Article 13 of the aforementioned Royal Decree-Law 5/2023.

Signature and representation

The announcement was signed in Torroella de Montgrí on August 14, 2026, by the Chairman of the Board of Directors of Envases Plásticos del Ter, S.A. and the sole administrator of Enplater Logistics, S.L., represented respectively by Josep Garganta Bassa and Josep Ramon Garganta Roman.

The operation consolidates the restructuring of the group, which had already undergone previous corporate movements, and allows the parent company to concentrate on its industrial activity of packaging manufacturing while outsourcing logistics to a specialized subsidiary. For shareholders and creditors, the announcement opens the legal period to review the agreements and, if applicable, exercise their rights against the segregated company.
