Envases Plásticos de Aragón spins off its logistics to Enplater Logistics

Envases Plásticos de Aragón, S.L.U. has decided to segregate its business branch of logistics, transport, and storage of intra-group products, which is transferred in its entirety to the beneficiary company Enplater Logistics, S.L. The agreement was adopted unanimously at the Extraordinary and Universal General Shareholders’ Meetings held on August 14, 2026, and was published in the Official Gazette of the Mercantile Registry (BORME) number 159, dated August 19, 2026, page 5954.

The operation is formalized as a partial spin-off by block transfer and universal succession of the autonomous business branch, under the terms and conditions provided for in the common partial spin-off project. The beneficiary company is subrogated to all rights and obligations received from the spun-off company.

Legal framework of the operation

The spin-off is processed under Article 10 et seq. of Royal Decree-Law 5/2023, of June 28, which modifies the regime for structural changes of commercial companies. This regulation replaces the previous framework of Law 3/2009, of April 3, on Structural Changes of Commercial Companies, and regulates the publicity requirements and the protection of shareholders and creditors in this type of restructuring.

The operation is part of the reorganization strategy of the Aragonese industrial packaging group, which already segregated its cylinder manufacturing and engraving branch in favor of Enplater Grabados, S.L.U. in 2022, through a similar procedure.

Effects on shareholders and creditors

As a result of the spin-off, the shareholder of the spun-off entity receives a proportional share in the beneficiary company, thereby maintaining the equity balance of the group. The beneficiary company assumes in block the assets, contracts, and obligations linked to the segregated logistics activity.

Shareholders and creditors may obtain the full text of the agreements adopted and the presented spin-off balance sheet. In particular, the creditors of the spun-off company may exercise the rights corresponding to them within the periods and terms provided for in Article 13 of the aforementioned regulation.

The announcement is signed in Sariñena and Torroella de Montgrí, on August 14, 2026, by the sole administrators of both companies, represented by:

• Josep Garganta Bassa, sole administrator of Envases Plásticos de Aragón, S.L.U., representing Envases Plásticos del Ter, S.A.
• Josep Ramon Garganta Roman, sole administrator of Enplater Logistics, S.L., representing Envases Plásticos del Ter, S.A.

The operation reinforces the specialization of the Aragonese packaging group, separating the production activity from the intra-group logistics and transport into a dedicated company. For employees, suppliers, and creditors in the sector, the spin-off implies a change of counterparty in the contracts of the logistics branch, with the guarantee that the beneficiary fully assumes the transferred rights and obligations.
