Emerita Resources España crea consejo y nombra a Oosterman consejero delegado

The company Emerita Resources España, Sociedad Limitada ceases to be governed by a sole administrator and moves to a board of directors consisting of three members, in which Danniel Oosterman assumes the position of chief executive officer. The registration, dated October 26, 2026, is published in the Official Gazette of the Mercantile Registry number 214, of November 6, 2026, First Section, with act number 498104 and reference BORME-A-2026-214-41.

The announcement appears in the First Section of the Official Gazette of the Mercantile Registry, under the heading “Entrepreneurs. Registered Acts” and the provincial section of Seville, on page 52274 of number 214. It corresponds to act 498104 and the 24th registration of registry sheet SE100229, carried out on October 26, 2026.

The entry concentrates four corporate decisions into a single movement: the removal of the sole administrator, the appointment of the three directors with assigned roles, the modification of Article 2 of the corporate bylaws, and the change of registered office. The gazette describes the operation with the formula “Change of Administration Body: Sole Administrator to Board of Directors,” such that the company abandons the sole administrator model it had maintained until now.

A three-member board with separate presidency and secretary

The new administration body is composed of three directors, all of whom have their positions registered in the same registry entry:

  • Joaquín Jesús Merino Márquez, director and chairman of the board.
  • Miguel Esteban García Jiménez, director and secretary of the board.
  • Danniel Oosterman, director and chief executive officer.

The structure distributes functions across three levels: the presidency of the collegiate body, the secretary—with responsibility for corporate documentation—and the executive delegation. It is the latter that concentrates ordinary management, as it falls to Danniel Oosterman as chief executive officer.

Removal of the sole administrator, new address, and statutory change

The registry act also records the departure of the until-now sole administrator, Patrick Gower David, whose removal is registered alongside the appointments. The change of administrator is not accompanied by other alterations in capital ownership, according to the content of the announcement.

Along with the replacement in the administration body, the company modifies Article 2 of its corporate bylaws and transfers its registered office to Almirante Lobo Street 3, 1st left, postal code 41001, in Seville. The announcement includes the verification reference in the electronic office of the organization and closes with the registry data corresponding to sheet SE100229.

A decade of entries: from powers to corporate governance

The company’s registration history shows a progressive shift from management by proxies toward a corporate governance structure:

  • February 2016: appointment of Gregory Duras as proxy.
  • July 2017: appointment of Alba Sánchez Gómez as proxy.
  • October 2020: appointment of José Suárez Suárez as proxy.
  • September 2022: statutory amendment of Article 29.
  • December 2022: removal of Joaquín Merino Márquez as sole administrator and appointment of Patrick Gower David to the same position.
  • January 2023: appointment of Joaquín Jesús Merino Márquez as proxy.
  • July 2024: revocation of powers and appointment of María León Cano and Juan Luis Álvarez Cardona.
  • November 2025: appointment of Yolanda Gómez Álvarez, David Fernández López, Alonso Salguero Rodríguez, and Aurelio Cazenave Sánchez as proxies.
  • October 2026: constitution of the board of directors and appointment of Danniel Oosterman as CEO.

The announcement also appears in the alphabetical index of companies in the same issue of the bulletin, under reference BORME-A-2026-214-99, which allows the entry to be located by corporate name.

The change in the administrative body provides a formal and verifiable reference regarding the distribution of power within the Spanish subsidiary: the presidency, secretary, and CEO are now identified by full name in the registry, which was not previously the case as there was a sole administrator. For investors, analysts, and operators in the mining sector following the company’s activity in Spain, the 24th entry of sheet SE100229 establishes the exact date of the handover—October 26, 2026—and the statutory framework under which the company will make its next corporate decisions.
