El Cádiz CF abre la tercera ronda de su ampliación de capital

The Board of Directors of Cádiz Club de Fútbol, S.A.D. agreed in its meeting on October 8, 2026, to conclude the second round of its capital increase and initiate the third, after 134,241 shares were subscribed and paid for, leaving 522,075 pending. The agreement is published in the Official Gazette of the Mercantile Registry (BORME) no. 196, of October 9, 2026, Second Section (Announcements and legal notices), page 6697, with the official reference BORME-C-2026-5398.

The operation is executed by virtue of the delegation conferred upon the Board by the General Shareholders’ Meeting of Cádiz Club de Fútbol, S.A.D. held on October 16, 2023, in accordance with article 297.1.b of the Capital Companies Law, and was approved by the Board itself in its meeting on July 31, 2026. The increase is structured in three rounds: preferential subscription, additional allocation, and discretionary allocation.

Result of the second round

With the second round (Additional Allocation Period) concluded, and according to the subscription forms received and the payments effectively made, the result is as follows:

  • Shares subscribed and paid: 134,241, numbered consecutively from 10,587,437 to 10,721,677, both inclusive.
  • Shares remaining unsubscribed: 522,075, numbered from 10,721,678 to 11,243,752, both inclusive.

These figures are added to those of the first round, in which 2,091,584 shares were subscribed and 656,316 remained pending, according to the announcement published in BORME no. 187, of September 28, 2026, page 6482 (reference BORME-C-2026-5220).

How the remaining 522,075 shares will be distributed

The third round (Discretionary Allocation Shares) will be governed by the criteria established in the announcement published in the BORME of August 4, 2026 (pages 5694 et seq.). Various shareholders have expressed in their subscription forms their willingness to subscribe, each of them, to all the remaining shares.

  • Shareholders who have made such a declaration will have preference in the allocation.
  • Since all of them wish to subscribe to all the remaining shares, these will be distributed among them pro rata to their shareholding in the resulting share capital after the second round.
  • If the pro rata distribution results in a fractional number of shares, it will be rounded to the nearest whole number, either up or down.

Term, payment, and guarantees of the operation

The third round will have a duration of two (2) business days in the city of Cádiz, counting from the day following the publication of the announcement in the BORME. The Board will send an individualized communication to each shareholder who has expressed their desire to participate, indicating the maximum number of shares they may subscribe to.

Shareholders must make the full corresponding payment (nominal value plus share premium) into the bank account held by the Club with IBAN ES57 2100 8640 1702 0013 7207, within a maximum period of two (2) business days in Cádiz starting from the day following the date of issuance of said communication. No shares shall be allocated if the amount has not been previously paid and, in the event of a discrepancy between the shares requested and the amount deposited, only the shares effectively paid for shall be allocated.

The capital increase amounts to 2,747,900 euros in nominal value, through the issuance of the same number of shares with a nominal value of one euro each, with a share premium of 1.402925 euros per share. The payment per share is 2.402925 euros and the total effective amount of the operation (capital plus premium) reaches 6,602,997.6075 euros. The companies MAKE MARK, S.L. and CAPRI GLOBAL INVESTMENTS, S.L. maintain their joint and several commitment to subscribe to any shares remaining unallocated in this third round, which guarantees full subscription. Once the increase is executed, the share capital will be fixed at 8,243,852 euros, divided into 8,243,852 shares.

The announcement was signed in Cádiz on October 8, 2026, by the Chairman of the Board of Directors, Mr. Karl Christian Septien Stute.

The operation seeks the equity strengthening of the Cádiz-based club and directly affects shareholders who can still participate in the discretionary round, as well as the fans as a whole, by conditioning the entity’s solvency and its capacity to compete in professional football.
