Eco-Energías del Guadiana absorbs thirteen companies from Cáceres Solar
Por FactBox Admin

Eco-Energías del Guadiana, S.A. has filed with the Mercantile Registry of Badajoz the merger project by absorption of thirteen companies: twelve from the Cáceres Solar family and EEG P1A, S.L. The announcement appears published in the Official Gazette of the Mercantile Registry (BORME) number 211, corresponding to Tuesday, November 3, 2026, with the official reference BORME-B-2026-211-06. The filing is dated October 23, 2026.
The notice is inserted in the First Section (Entrepreneurs), within the heading “Other acts published in the Mercantile Registry” and under the provincial section of Badajoz, in the block of “Filings of merger projects by absorption.” The entry occupies order number 684 of the list and appears on page 51559 of the gazette.
This is, therefore, the publicity procedure for the merger project, not the registration of the already executed merger: the BORME records the filing of the project and the identification of the absorbing company and the absorbed companies, without the announcement including data on capital, asset valuation, exchange ratio, or execution schedule.
The thirteen absorbed companies
The project identifies Eco-Energías del Guadiana, S.A. as the absorbing entity and the following companies as the absorbed entities, as they appear literally in the announcement:
- Cáceres Solar 1, S.L.
- Cáceres Solar 2, S.L.
- Cáceres Solar 3, S.L.
- Cáceres Solar 7, S.L.
- Cáceres Solar 14, S.L. (recorded in the gazette as “CACERESSOLAR 14 S.L”, without a space)
- Cáceres Solar 15, S.L.
- Cáceres Solar 18, S.L.
- Cáceres Solar 21, S.L.
- Cáceres Solar 22, S.L.
- Cáceres Solar 23, S.L.
- Cáceres Solar 24, S.L.
- Cáceres Solar 30, S.L.
- EEG P1A, S.L.
The enumeration combines a majority of companies with numbered names—from 1 to 30, with intermediate gaps—and a company with a technical name, EEG P1A, S.L., which breaks the pattern of the previous ones.
A perimeter that does not exhaust the Cáceres Solar family
The project does not include all the companies of that family listed in the BORME itself. In previous editions, among others, Cáceres Solar 13, S.L., Cáceres Solar 17, S.L., Cáceres Solar 26, S.L., and Cáceres Solar 28, S.L. appear, in addition to the complete series of registry entries for the twelve absorbed companies, with mentions dating back to 2009 and extending to 2025.
This partiality of the perimeter—twelve of the numbered companies plus EEG P1A, S.L., and not the entirety of the series—is the most relevant piece of data in the announcement, because it delimits exactly which assets are integrated into the absorbing company and which remain outside the operation.
What the gazette publishes and what remains pending
The announcement is limited to the identification of the parties and the filing date. It does not detail the merger regime, the number of affected partners, the effects on the absorbing company’s capital, nor the balance sheets used as a basis.
Nor does this edition include the registration non-objection note or the registration of the extinction of the absorbed companies, which are the milestones that usually appear in subsequent BORME entries, along with the registration data of volume, folio, and page for each company.
For readers, the operation outlines a concentration movement in the Extremaduran renewable sector: thirteen corporate vehicles, with names linked to the province of Cáceres and solar activity, are grouped under a single absorbing company with its registered office in the province of Badajoz. The announcement published on November 3, 2026, is the first formal act of that process and the document to which partners and creditors of the thirteen companies may refer.
