Drivalia Lease absorbs Drivalia España in a merger of the renting group

Drivalia Lease España, S.A.U. has absorbed its subsidiary Drivalia España, S.L.U., in a corporate restructuring operation that integrates the renting and mobility business within the leasing group. The agreement was approved by the sole shareholder of the absorbing company on September 3, 2026, and was made public via an announcement in the Second Section of the Official Gazette of the Mercantile Registry (BORME) number 173, dated September 8, 2026, page 6098.
The operation is processed under Royal Decree-Law 5/2023, of June 28, which adopts and extends transposition measures for European Union Directives regarding structural modifications of commercial companies (the RDLME). Pursuant to Article 10, the announcement of the merger by absorption is published, which entails the dissolution without liquidation of the absorbed company and the block transfer and universal succession of all its assets to the absorbing company.
Characteristics of the merger
The merger is executed under the terms of the common project signed by the administrative bodies of the intervening companies and based on the merger balance sheets closed as of December 31, 2025. Since all companies are fully and directly held by the same sole shareholder, the provisions of Article 53 of the RDLME apply, by reference to Article 56.1, meaning that the agreement of the sole shareholder of the absorbed company was not required.

Rights of shareholders and creditors
In accordance with Article 10 of the RDLME, it is noted that shareholders and creditors of the participating companies have the right to obtain the full text of the adopted merger agreement, as well as the submitted merger balance sheets. Creditors of each of the participating companies whose credits arose prior to the date of publication of the agreement may exercise the rights provided for in Article 13 of the RDLME.
The announcement was signed in Madrid on September 7, 2026, by the Non-Director Secretary of the Board of Directors of both the absorbing and absorbed companies, Ms. Maria del Pilar Sancho Mateos.

The absorption of Drivalia España by Drivalia Lease consolidates the group’s leasing, renting, and mobility activities into a single company, simplifying its corporate structure and centralizing the management of its assets.
