Distribuidora Libertad calls extraordinary meeting to approve its reconstruction plan
Por FactBox Admin

The Board of Directors of Distribuidora Libertad S.A. called an extraordinary shareholders’ meeting for November 7, 2026, at 10:00 AM, at Las Acacias 2543, commune of La Pintana, Santiago. The notice, published in the Official Gazette on October 24, 2026, under CVE 2890668, submits to the shareholders a plan for documentary reconstruction, accounting normalization, and administrative continuity, in addition to potential judicial or arbitral actions against the previous administration.
The notice appears in Section IV of the Official Gazette —“Tenders, Competitions, Summons, and Loss of Documents”—, under the Ministry of the Interior, in edition No. 44,582 of Saturday, October 24, 2026, consisting of a single page. The summons is formulated “by agreement of the Board and in accordance with the corporate bylaws,” without detailing the composition of the board or the quorum required for the meeting.
The document, electronically signed in accordance with Law No. 19,799 and identified with the corresponding timestamp, closes with the signature “THE BOARD OF DIRECTORS” and lists Giovanni Calderón Bassi as the director of the Official Gazette.
Fifteen items on the agenda
The summons combines ordinary matters of the closed fiscal year with points specific to an internal corporate crisis. The full agenda is as follows:
- Situation of the Company and Report for the 2025 fiscal year.
- Balance Sheet, income statement, and other financial statements for 2025.
- Result of the 2025 fiscal year and distribution of profits and dividends, if applicable.
- Report from account inspectors or external auditors for 2025, if any.
- Remuneration of the Board of Directors.
- Appointment of independent account inspectors or external auditors for the following period.
- Plan for Documentary Reconstruction, Accounting and Tax Normalization, and Administrative Continuity.
- Restart and verification of activities before the Internal Revenue Service (SII) and 2026 opening Accounting and Tax Report.
- Opening and use of the Company’s accounts and financial means.
- Reconstructed Shareholders’ Registry and its use for future administration.
- Management of corporate real estate, lease agreements, and collection of rents.
- Hiring of legal, accounting, and tax advisory services.
- Potential judicial or arbitral actions linked to the previous administration and asset recovery.
- Designation of the newspaper for future summons.
- Execution powers for the agreements adopted by the Meeting.
Documentary reconstruction and restart before the SII
Points 7 to 10 concentrate the core of the plan: the company puts to a vote the reconstruction of its documentation and accounting and tax normalization, along with the restart and verification of activities before the Internal Revenue Service and an accounting and tax opening report for the 2026 fiscal year. Added to this is the opening and use of the Company’s accounts and financial means, and the use of a reconstructed shareholders’ register for future administration.
The combination of both elements—documentation to be reconstructed and a shareholders’ register to be redone—places the meeting in a scenario of administrative continuity rather than ordinary management, in which the very identification of the shareholders appears as a matter for agreement.
Real Estate, Consultancies, and Actions Against Previous Administration
The final block of the table addresses asset management and the response to the previous period: the administration of corporate real estate, lease agreements, and the collection of rents; the hiring of legal, accounting, and tax consultancies; and any potential judicial or arbitral actions linked to the previous administration and asset recovery.
The meeting must also designate the newspaper for future summons and establish the execution powers for the agreements it adopts, two points that condition the immediate operability of whatever is resolved on November 7.
Impact for Shareholders
Publication in the Official Gazette is the only valid notification method for shareholders of a corporation that does not maintain an updated register, so the notice of CVE 2890668 sets the certain time and place to appear. With fifteen items on the agenda and a summons for 10:00 AM in La Pintana, the meeting on November 7, 2026, will define whether Distribuidora Libertad S.A. reconstructs its documentary and accounting base, resumes its formal relationship with the Internal Revenue Service, and whether or not it pursues legal action regarding the management of its previous administrators.
