DEFAZ Engineering placed in voluntary liquidation, Malinda Persaud appointed liquidator

DEFAZ ENGINEERING (GUYANA) INCORPORATED (Company No. 14371), a Georgetown-registered engineering firm at 228 ‘B’ Cummings Street, Bourda, is to be wound up voluntarily. The decision is set out in a special resolution of the company published in The Official Gazette of Guyana No. 378/2026 of Saturday 26 September 2026, which also records the appointment of Malinda Persaud, FCCA, as liquidator. The notices appear at pages 3209 to 3212 of the gazette as No. 2989, No. 2990 and No. 2991.

The winding-up was adopted as a special resolution in writing of the company under Sections 134 and 404 of the Companies Act of Guyana. The board of directors had recommended the voluntary winding-up of the company and passed a resolution containing a statutory declaration that it be wound up voluntarily.

The resolution, certified by Ron Motilall, Director/Company Secretary, provides that:

  • The company shall wind up its affairs and be placed in voluntary liquidation in accordance with the laws of Guyana, taking effect from the date of the resolution.
  • Malinda Persaud, FCCA, is appointed liquidator to wind up the affairs of the company and distribute its assets.
  • The Secretary of the company is authorised to execute documents and certificates necessary to carry out the resolution.
  • Actions taken by the Secretary before the resolution are ratified, confirmed and approved as acts of the company.
  • The resolution is to be filed in the minutes of the company.

Liquidator’s notice and the special general meeting

A separate notice, No. 2990, states that Malinda Persaud, FCCA, has been appointed liquidator of the company; that notice is dated 9 September 2026 and signed by the liquidator.

Notice No. 2991 convenes a Special General Meeting of DEFAZ ENGINEERING (GUYANA) INCORPORATED for 30 October 2026 at 13:00hrs at the company’s registered address, 228 ‘B’ Cummings Street, Bourda, Georgetown. The agenda is:

  • Call to Order.
  • Inspection and approval of the Liquidator’s account of the winding up.
  • Approval of Final Audited Accounts.
  • Any other Business.

The meeting notice is issued by order of the liquidator.

What the liquidation means

Voluntary liquidation places the company’s affairs in the hands of the appointed liquidator, whose statutory task is to wind up the business and distribute its assets. The 30 October meeting gives members the formal opportunity to inspect and approve the liquidator’s account of the winding up and to approve the final audited accounts before the process is closed.

For creditors, shareholders and employees of the Bourda-based firm, the gazette notices are the authoritative record of who now controls the company’s remaining business and when the final accounting will be put to a vote. The publication of the resolution and the two follow-up notices in the official gazette also fixes the public record of the company’s status as being in voluntary liquidation.
