Country Style Foods GY grants first debenture to Impact Venture Fund

Country Style GY Incorporated, a food company registered in Linden, will issue a first debenture in favour of Impact Venture Fund Inc., creating a fixed and floating first charge over its assets, according to a notice published in The Official Gazette of Guyana No. 383/2026 of Saturday 3rd October 2026. The notice, Misc. Notice No. 3092 at page 3285, states that the debenture will be issued and registered seven days after publication under Section 233(1) of the Companies Act No. 29 of 1991.

The notice appears in the Miscellaneous section of the gazette, which is published by the authority of the Government of Guyana and printed by Guyana National Printers Limited. It gives public notice of the security before registration, so that creditors and other interested parties can see the charge that will rank first against the company’s assets. The same issue of the gazette carries a separate first debenture notice for Tagman Media Inc. in favour of Guyana Bank for Trade and Industry Limited (No. 3094), showing that first-charge registrations are a routine but consequential feature of the gazette’s notices.

The parties to the charge

  • Country Style GY Incorporated — the mortgagor, incorporated in Guyana under the Companies Act No. 29 of 1991, with its registered office at 42 Bond Road, Central Amelia’s Ward, Linden, Guyana.
  • Impact Venture Fund Inc. — the debenture holder, incorporated in Guyana under the Companies Act No. 29 of 1991, with its principal office at 1 Wren Avenue, South Ruimveldt Gardens, Georgetown, Guyana.

The notice is headed “Notice of First Debenture” and is dated 11th September 2026. It states that the debenture will be issued and registered after the expiration of seven days from the date of publication of the notice.

What the debenture secures

The debenture is described as a continuing collateral security for the payment and discharge of the principal moneys and the interest, including loan advances and overdraft facilities payable by or granted to the company. It will not be secured by a separate mortgage or charge; the debenture itself confers a fixed first charge ranking as a first mortgage on the fixed and floating assets of the company, and more particularly a fixed first charge ranking as a first mortgage on the company’s immovable property, as set out in Schedule A of the notice.

A first floating charge is also created over:

  • all business assets, property, undertaking and goodwill, present and future, including uncalled capital;
  • stock-in-trade, goods, wares and merchandise;
  • machinery, motor vehicles, equipment, furniture, fixtures, fittings, utensils, tools and implements;
  • book and other debts, goodwill, choses-in-action, trade names, trade rights and licences;
  • assets, liens and goods of every description brought into or taken into the business, in addition to or in substitution of those at present existing.

Restrictions on further borrowing

The notice records a restriction on the company: it may not create or permit any mortgage, lien, debenture charge or security interest over its property, or any part of it, ranking in priority to, pari passu with, or subject to the charges created by the debenture, without the prior written consent of Impact Venture Fund Inc. and on terms and conditions satisfactory to the fund. The floating charge extends to the business whether carried on at the said premises or elsewhere in Guyana, and to any other business the mortgagor may carry on.

For readers, the notice matters on two counts. It puts creditors of Country Style GY Incorporated on notice that a first-ranking fixed and floating charge will stand ahead of unsecured claims, and it marks a formal financing event for a Linden-based food business in Guyana’s agro-processing sector, where access to secured credit is closely watched. The charge takes effect on registration, seven days after the notice appeared in the gazette.
