Concurso y liquidación de Control Integral de Vegetación en Madrid

The Commercial Section of the Court of First Instance of Madrid, court no. 4, declared on October 14, 2026, the voluntary insolvency proceedings of Control Integral de Vegetación, S.A. and agreed to the opening of the liquidation phase, with the dissolution of the company and the removal of its directors. The resolution, which is not final, was entered into the Mercantile Registry on October 29, 2026, and published in the Official Gazette of the Mercantile Registry (BORME) no. 214, dated Friday, November 6, 2026, under the official reference BORME-A-2026-214-28.

The announcement appears in the First Section of the gazette, dedicated to registered acts, under entry number 497386 and with the name already updated to Control Integral de Vegetación, S.A. in liquidation. The judge issuing the resolutions is Olga Ahedo Peña, and the insolvency procedure processed is 736/2026.

Three resolutions with the same date

The registry entry groups three rulings from the same court and of the same date, none of which are final:

  • Order declaring insolvency, classified as voluntary, granting creditor status to holders of credits prior to the declaration.
  • Resolutions agreeing to the intervention or suspension of the administration and disposal powers of the debtor company.
  • Order opening the liquidation phase, which declares the dissolution of the debtor and the removal of the directors.

The order itself also mandates the formation of the five sections of the insolvency process: first, second, third, fourth, and fifth. The registration of the declaration was carried out in the company’s registry sheet, with the data S 8, H M 372797, I/A C (29.10.26), which is the registration of the insolvency status.

Who is leaving the administrative body

The removal affects the two joint directors who held the position:

  • Esperanza Morales Servián, joint director and former proxy and sole director of the company.
  • Raquel Canalda Morales, joint director since her appointment registered in June 2024.

The registry history of the administrative body shows several changes in a few years: in 2019, it moved from joint and several directors to a sole director; in 2021, from a sole director to joint directors; and in January 2024, Bernardino Sanz Alonso ceased to be a joint director. In May 2026, five months before the insolvency order, the company registered the appointment of Giménez Sánchez Auditores, S.L. as statutory auditor, and in January 2026, it updated its tax identification number to A84245273 following a corporate transformation.

The registered registered office, following the relocation agreed upon in October 2024, is calle Ciudad de Frías 24-32, nave 24, in Madrid.

Practical effects for creditors and third parties

With the opening of the liquidation, the company ceases to have ordinary corporate management: the former directors are removed, and the power to dispose of corporate assets becomes subject to the insolvency regime. The BORME announcement does not identify the appointed insolvency practitioner in this entry, a detail that will be recorded in the proceedings of case 736/2026 before court no. 4 of the Madrid tribunal.

For creditors, the voluntary nature of the insolvency proceedings and the immediate opening of the liquidation imply that the satisfaction of their claims will be ordered according to legal priority and the audit performed during the liquidation phase, without a settlement phase. The announcement also does not detail the liabilities or assets of the insolvent entity; therefore, the economic dimension of the proceedings must be consulted at the judicial headquarters itself.

An insolvency proceeding still subject to appeal

None of the three resolutions are final, meaning that the declaration of insolvency and the opening of the liquidation are subject to the appeals provided for by insolvency regulations. This circumstance explains why the registry entry was made with the notation of the insolvency status while the proceedings continue their course.

The relevance of the announcement is twofold: on one hand, it publicly establishes the date of the directors’ removal and the start of the liquidation of a Madrid-based commercial company with more than two decades of registry history; on the other, it serves as an official notice for creditors, employees, and clients with pending relations with Control Integral de Vegetación, S.A. to direct their communications to the judicial body handling insolvency case 736/2026 and not to the former corporate management.
