Energía Castellana partners absorb six solar companies

Colaboradores de Energía Castellana SL has formalized the merger by absorption of six companies dedicated to solar energy, all of which have been dissolved and extinguished without liquidation. The act has been registered in the Commercial Registry of Madrid and published in the Official Gazette of the Commercial Registry (BORME) number 174, dated September 9, 2026, page 42997, with the official reference BORME-A-2026-174-28 (entry 408386).
The operation was unanimously approved in the Extraordinary and Universal General Shareholders’ Meetings of the involved companies on February 10, 2025, and was announced in BORME number 40, dated February 27, 2025, in compliance with Article 10 of Royal Decree-Law 5/2023, of June 28, transposing European Union Directives regarding structural modifications of commercial companies.

The absorbing company integrates, by universal succession, the assets, liabilities, and equity of the six solar entities, which are now dissolved and extinguished:
- Oriego Solar SL
- Fonfría Solar SL
- Sagarú Solar SL
- Montejo Solar SL
- Lomato Solar SL
- Univergy ES SPC 7 SL
Registration data
The registration was carried out in section 8 of the Commercial Registry of Madrid, under sheet number H M 712236, via entry I/A 3, with a registration date of September 2, 2026. The absorbing company, Colaboradores de Energía Castellana SL, had already been consolidating its position in the Madrid renewable sector, as reflected by the change in identity of the sole shareholder of Oriego Solar SL registered in March 2026.
Sector relevance
The concentration of these six solar companies under a single parent company strengthens the corporate structure of Colaboradores de Energía Castellana SL in the field of photovoltaic generation in the Community of Madrid. The merger simplifies the group’s corporate map and concentrates the management of solar assets into a single entity, a common move in a renewable sector undergoing full consolidation.
