Ángel Marinero Peral steps down as director and president of the public company Somacyl
Por FactBox Admin

Ángel Marinero Peral has stepped down as director and as president of the Sociedad Pública de Infraestructuras y Medio Ambiente de Castilla y León, S.A. (SOMACYL), according to the entry made in the Mercantile Registry on October 28, 2026, and published in the Official Gazette of the Mercantile Registry (BORME) number 213, dated November 5, 2026 (reference BORME-A-2026-213-47). The entry, registered under number 496084 of the First Section, records the removal from both positions and does not include any replacement appointment.
The annotation appears in the First Section of the gazette, dedicated to “Entrepreneurs - Registered Acts,” within the heading corresponding to the province of Valladolid, the jurisdiction where the company has its registered office. The cessation is listed as entry 49 of registration sheet VA 20072, with an entry date of October 28, 2026, meaning that the departure of the until-then top executive officer of the board was formalized in the registry six days before its official publication.
A double cessation without a registered replacement
The agreement simultaneously affects the two positions that Marinero Peral held in the public company’s administrative body:
- Director: cessation of Marinero Peral, Ángel.
- President: cessation of Marinero Peral, Ángel.
- Appointments: the entry does not record any designation of director or president.
- Registration data: section 8, sheet VA 20072, entry 49, dated October 28, 2026.
In registration terms, the company is left with the presidency of the board without a registered holder, pending the formalization and registration of the substitute’s designation.
From signing the ordinary meeting to yielding the call to the CEO
The cessation comes after a fiscal year in which Marinero Peral effectively exercised the presidency. In the call published in BORME number 105, dated June 4, 2026 (reference BORME-C-2026-3202, p. 4071), it was he who signed the announcement for the Ordinary General Meeting, held on July 6, 2026, at 9:00 AM electronically, with the following agenda: examination and approval of the audited annual accounts for the year ending December 31, 2025, application of results, approval of the board’s management, attribution of powers to elevate the agreements to a public instrument, requests and questions, and reading of the minutes.
Four months later, the call for the Extraordinary General Meeting of December 1, 2026, published in BORME number 205, dated October 23, 2026 (reference BORME-C-2026-5590, p. 6935), was no longer agreed upon by the president but by the CEO, José Manuel Jiménez Blázquez, under article 25.2 of the corporate bylaws. The only item on the agenda is the designation of the auditors for the 2026 to 2028 fiscal years.
A regional company with 18 million in capital
SOMACYL is a public limited company with entirely public capital linked to the Junta de Castilla y León, whose activity focuses on public works and the environment. Its bylaws, modified in 2021 and registered in the BORME of June 28, 2021 (reference BORME-A-2021-121-47), set the share capital at 18,095,000 euros, represented by 20,000 single-series registered shares, and subject any transfer of securities to the authorization of the general meeting, with preferential destination to the General Administration of the Community of Castilla y León.
The latest entries of sheet VA 20072 reflect a stage of continuous changes in the leadership and corporate structure:
- Loss of sole-shareholder status, entry 44 (September 25, 2025).
- Appointment of Javier Óscar Pablos Aragón as proxy, entry 45 (December 30, 2025).
- Cessation of María Pardo Álvarez as director, entry 46 (February 18, 2026).
- Appointment of Ana María Gavilán Rueda as joint proxy, entry 47 (April 8, 2026).
- Change of registered office to Cañada Real Street, 306, 47008 Valladolid, entry 48 (April 30, 2026).
The board had already registered previous renewals, such as that of 2016, when Francisco Javier de Andrés Guijarro, José Antonio Cabrejas Gómez, and María Jesús Pascual Santa stepped down, and De Andrés Guijarro, Ignacio Santos Pérez, and Ricardo Antonio González Mantero were appointed as directors (BORME of October 3, 2016, reference BORME-A-2016-189-47).
The cessation of Marinero Peral leaves vacant the presidency of one of the main executive tools of the Junta de Castilla y León regarding infrastructure and the environment, at a time when the company faces the appointment of auditors for the 2026-2028 triennium and while the mercantile registry does not yet record the name of the substitute heading the board of directors.
