Cervezas Gran Vía amortiza 23,2 millones y deja el capital en cero

Cervezas Gran Vía Sociedad Limitada has amortized 23,201,859.00 euros of share capital until reducing it to zero and, immediately thereafter, increased it by 168,286.24 euros. The operation was registered in the Mercantile Registry of Seville on October 16, 2026, and is published in the Official Gazette of the Mercantile Registry number 205, dated October 23, 2026, under reference number 475450 (BORME-A-2026-205-41).

The announcement appears in the First Section of the gazette, dedicated to Entrepreneurs and Registered Acts, on page 49927 and within the block corresponding to the province of Seville. The registration file groups three distinct agreements: a capital reduction, a capital increase, and a statutory modification affecting article 6 of the corporate bylaws, relating to the share capital.

The scheme—reducing the capital to zero and immediately reconstituting it with a much lower figure—follows the usual pattern for cleaning up accumulated losses: the reduction absorbs the negative results, and the subsequent increase provides the company with a positive capital consistent with its net equity.

Reduction of 23.2 million to zero

The first part of the agreement consists of a capital amortization in the amount of 23,201,859.00 euros, exactly the amount the company had subscribed. The published data are as follows:

  • Amount of the reduction: 23,201,859.00 euros.
  • Resulting subscribed capital after the reduction: 0.00 euros.
  • Statutory modification: article 6 of the corporate bylaws (share capital).
  • Registration data: S 8, H SE101105, I/A 39, dated 16.10.26.

Subsequent increase of 168,286.24 euros

Upon that zero capital, the company agreed to an increase whose amount coincides entirely with the new subscribed capital, with no pending payment tranche according to the published information:

  • Capital of the increase: 168,286.24 euros.
  • Resulting subscribed capital: 168,286.24 euros.
  • Registration: the same registration sheet S 8, H SE101105, I/A 39.

The net result of both operations is an effective reduction of 23,033,572.76 euros compared to the previous capital, which is now fixed at 168,286.24 euros.

Background: an increase annulled by court ruling

The company’s history in the bulletin allows for the reconstruction of the context. On June 16, 2023, an increase of 11,095,051.00 euros was registered, which raised the subscribed capital to 12,827,265.00 euros (BORME-A-2023-113-41, reference 275152). That registration was subsequently canceled: on April 17, 2024, the bulletin published a corrigendum that nullified the 32nd registration, regarding the capital increase and the modification of article 6, by virtue of a judgment dated January 18, 2024 —rectified by an order dated February 6, 2024— which declared the agreement adopted in the fourth point of the meeting on November 28, 2022, to be null and void (BORME-A-2024-75-41, reference 183960).

With the registration already annulled, on September 20, 2024, a new increase of 21,469,645.00 euros was registered, which set the subscribed capital at 23,201,859.00 euros, along with the resignations and appointments of directors (BORME-A-2024-182-41, reference 406124). This was followed by the change of registered office to Avenida de la Buhaira 10, first floor, 41018 Seville (BORME-A-2024-212-41, reference 469933) and the revocation and new appointment of proxies in June 2025 (BORME-A-2025-116-41, reference 281215).

What this implies for partners and creditors

The reduction to zero does not imply the dissolution of the company: share capital is an accounting magnitude and the company retains its legal personality and its open registration file in Seville. What is relevant for third parties is that the capital ceases to be the guarantee reference it had until now and becomes a symbolic figure, while the subsequent increase sets the new equity floor at 168,286.24 euros.

For the partners, the operation implies a complete restructuring of their holdings on a minimum capital base; for the creditors, the announcement is the formal signal that the company has recognized losses for an amount equivalent to all its previous capital.
