Carawine Resources to become proprietary company under ASIC gazette notice

ASIC will alter the registration details of Carawine Resources Limited one month after the publication of a notice in the ASIC Gazette No. A41/26 of Tuesday 13 October 2026, converting the company into a proprietary company limited by shares. The company, registered under ACN 611 352 348, will be renamed Carawine Resources Pty Ltd. The decision, taken under subsection 164(3) of the Corporations Act 2001 and dated 9 October 2026, also changes the type of three other companies.

The notice is published on page 78 of the Commonwealth of Australia Gazette issued by the Australian Securities and Investments Commission (ASIC), the body that administers the register of Australian companies. Under subsection 164(3) of the Corporations Act 2001, ASIC may alter a company’s registration details — its type and, where applicable, its name — by notice in the gazette.

The alteration does not take effect immediately. ASIC states that it “will alter the registration details of the following companies 1 month after the publication of this notice, unless an order by a court or Administrative Appeals Tribunal prevents it from doing so.” For readers of the 13 October edition, that places the effective date in mid-November 2026.

Carawine Resources: from limited to proprietary

Carawine Resources Limited, ACN 611 352 348, will change to a proprietary company limited by shares. Its new name will be Carawine Resources Pty Ltd, ACN 611 352 348.

The change moves the company from the “Limited” (public) form to the “Pty Ltd” (proprietary) form. The Australian Company Number stays the same, so the entity on the register remains the same legal person under a new type and name.

Three other companies in the same notice

The same subsection 164(3) notice covers three further alterations:

  • Baron Partners Limited, ACN 003 397 528, will change to a proprietary company limited by shares; the new name will be Baron Partners Pty Ltd, ACN 003 397 528.
  • Rural Marketing Agents Ltd, ACN 003 418 853, will change to a public company limited by shares, keeping its existing name.
  • She Rise Foundation Pty Ltd, ACN 693 474 494, will change to a public company limited by shares; the new name will be She Rise Foundation Ltd, ACN 693 474 494.

Two of the four companies move in the opposite direction to the others: Carawine Resources and Baron Partners become proprietary, while Rural Marketing Agents and She Rise Foundation become public.

One month, and a right of review

The gazette carries a standing notice on rights of review. Persons affected by certain decisions made by ASIC under the Corporations Act 2001 and other legislation it administers may have rights of review. ASIC points readers to Regulatory Guide 57, Notification of rights of review (RG57), and Information Sheet INFO 9, ASIC decisions – your rights.

Both documents are available from the ASIC Digest and the ASIC website. The notice is dated the ninth day of October 2026.

For shareholders and counterparties, the practical effect is a change of corporate form rather than of identity: the ACN is unchanged in every case, but the type and, for three of the four companies, the name on the register will differ after the one-month period. Anyone dealing with Carawine Resources should expect documents, invoices and filings to carry the name Carawine Resources Pty Ltd from mid-November 2026, unless a court or the Administrative Appeals Tribunal intervenes first.
