C WorldWide to merge Emerging Markets and Asia UCITS departments

The board of Investeringsforeningen C WorldWide has drawn up a merger plan to combine two of its UCITS departments, Afdeling Emerging Markets KL and Afdeling Asien KL, with the former ceasing to exist and the latter continuing. The plan, dated 3 September 2026, was published in Statstidende on 8 September 2026 under the section “Forskellige kundgørelser” (various notices).
The merger is conditional on two approvals: adoption at an extraordinary general meeting of the ceasing department, Afdeling Emerging Markets KL, and subsequent approval by the Danish financial supervisory authority Finanstilsynet. Until then, the plan remains a proposal open to investor scrutiny.
The two departments and the merger structure
The merger brings together two departments of the same investment association, Investeringsforeningen C WorldWide (CVR-nr. 14 21 13 49). The ceasing department, Afdeling Emerging Markets KL (SE-nr. 32 53 02 49), will be absorbed by the continuing department, Afdeling Asien KL (SE-nr. 29 76 11 40).
In addition to the merger plan, the board of the ceasing department has prepared a merger report (fusionsredegørelse) that supplements the plan. The transaction is governed by the Danish executive order on the merger and division of Danish UCITS, specifically § 6, stk. 1.
Documents open for inspection
From 8 September 2026, the following documents are available for inspection at the office of the ceasing department at Dampfærgevej 26, 2100 København Ø:
- The merger plan (fusionsplan);
- The merger report for the ceasing department;
- The valuers’ statement on the position of creditors in the ceasing department;
- The latest half-year reports for both the ceasing and the continuing departments.

What investors should know
The merger affects investors in both departments, as their holdings will be consolidated into a single continuing department once the plan takes effect. Because the transaction requires a resolution at an extraordinary general meeting of Afdeling Emerging Markets KL and the green light from Finanstilsynet, the timeline depends on those approvals.
For unitholders, the published documents provide the basis for assessing the terms of the merger, including the valuation of the ceasing department and the position of its creditors. The notice was signed by the board of Investeringsforeningen C WorldWide in Copenhagen on 8 September 2026.
