BAG, Eurovia and Remex notify joint control of recycler Baureka

The European Commission has been notified of a proposed concentration under which Basalt-Actien-Gesellschaft (BAG), Eurovia Industrie GmbH (EVI) and REMEX GmbH (Remex) will acquire joint control of the German recycling company Baureka Baustoff-Recycling GmbH. The notification, received by the Commission on 24 August 2026, was published in the Official Journal of the European Union (C series) on 1 September 2026 under reference C/2026/4662, and the case has been designated a candidate for the simplified merger review procedure.

The transaction is notified pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the Merger Regulation) and is accomplished by way of purchase of shares. Under Article 3(1)(b) of the Regulation, BAG, EVI and Remex will take joint control of the whole of Baureka, which is currently jointly controlled by Vinci and Rethmann. The undertakings involved

The concentration brings together three groups active across the construction-materials and recycling value chain:

• BAG, part of the Wilh. Werhahn Group (Germany), produces and sells building materials, particularly crushed natural stone and asphalt, alongside consumer goods and financial services.
• EVI, controlled by Vinci S.A. (France), is active in planning, construction and operation of transport routes and facilities, energy and environmental management, building-materials production and road-construction recycling.
• Remex, controlled by Rethmann SE & Co. KG (Germany), provides recycling, water management, logistics, biological-waste utilisation, energy recovery and public-transit services, with a focus on the circular economy.

Baureka’s business

Baureka operates in the Kassel region of Germany, where it processes grate ash generated during the incineration of municipal solid waste. Its activities also include:

• receiving and processing non-hazardous mineral construction waste, soil and excavated material;
• distributing recycled metals and mineral substitute construction materials;
• handling tar-containing road rubble.

Next steps

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation, although the final decision on that point is reserved. Because the case is a candidate for simplified treatment under the Commission Notice on simplified procedures, interested third parties are invited to submit observations to the Commission.

Observations must reach the Commission no later than 10 days following the date of publication, quoting reference M.12082 – BAG / EVI / REMEX / BAUREKA. The outcome of the review will determine whether the combination of three major construction-materials and recycling groups over Baureka can proceed without conditions, with implications for competition in the German building-materials and mineral-waste recycling markets.
