AXA absorbs its health and assistance subsidiaries in Catalonia

AXA Seguros Generales, S.A. de Seguros y Reaseguros, in its capacity as sole shareholder, approved on August 31, 2026, the merger by absorption of Grupo Pensa Salud, S.L.U. and Oksygen Experience, S.L.U. by Assistència Avançada BCN, S.L.U., as stated in the announcement published in the Official Gazette of the Mercantile Registry (BORME) number 168, dated September 1, 2026, page 6041, with reference BORME-C-2026-4838.

The operation is framed within Article 10.1 of Royal Decree-Law 5/2023, of June 28, which adopts transposition measures for European Union Directives regarding structural modifications of commercial companies (the “LME”). The common merger project was formulated by the boards of directors of the participating companies on May 14, 2026.

A reorganization of the health and assistance business

The merger involves the bulk transfer, by universal title, of the entire assets of the absorbed companies in favor of the absorbing company, which will acquire all their rights and obligations by universal succession. Consequently, Grupo Pensa Salud and Oksygen Experience will be extinguished via dissolution without liquidation, becoming fully integrated into Assistència Avançada BCN.

With this operation, AXA concentrates its health and assistance activity in Catalonia into a single company, grouping the assets and services previously managed by the three entities under Assistència Avançada BCN.

Creditors’ rights and legal guarantees

In accordance with the provisions of the LME, it is noted that creditors of the participating companies have the right to obtain the full text of the agreements adopted, as well as the respective merger balance sheets. Interested parties may exercise this right before the affected companies.

The operation was formalized in Barcelona on August 31, 2026, with the intervention of the administrative bodies of the three companies:

• Ms. Carmen de Juan Gala, non-director deputy secretary of the Board of Directors of Assistència Avançada BCN and non-director secretary of the Board of Directors of Grupo Pensa Salud.
• Ms. María Antonia Ragozzino Cuenca, non-director secretary of the Board of Directors of Oksygen Experience.

Impact for clients and creditors

The integration of the three companies into a single entity simplifies the corporate structure of the insurance group in the field of health and assistance, which may translate into more agile management of services and relationships with clients and suppliers. Creditors of the participating companies retain their rights and may consult the merger documents, while clients of health and assistance services in Catalonia will see their care unified under Assistència Avançada BCN.
