Avanta Prevención absorbs Taprega in twin company merger

Avanta Prevención Integral, S.L.U. absorbs Taprega Prevención de Riesgos, S.L.U. in a corporate reorganization operation approved by the sole shareholder of both companies on September 3, 2026. The merger, published in the mergers and acquisitions section of the Official Gazette of the Mercantile Registry (BORME) number 174, dated September 9, 2026, entails the dissolution without liquidation of the absorbed company and the transfer of all its assets to the absorbing company.

The announcement, with official reference BORME-C-2026-4902, is made in accordance with Article 10 of Royal Decree-Law 5/2023, of June 28 (LME), which regulates the structural modifications of commercial companies. The operation is formalized as a simplified merger between companies wholly owned by the same sole shareholder, under Article 56 of the LME.

Characteristics of the operation

The merger is based on a project drafted by the administrative bodies of the intervening companies dated June 25, 2026. As it is a simplified merger, the agreement was adopted without previously publishing or depositing the documents required by the LME nor having an administrators’ report on the project, as it was approved directly by the sole shareholder.

• Universal succession: the absorbing company acquires all rights and obligations of the absorbed company’s assets.
• Dissolution without liquidation of Taprega Prevención de Riesgos, S.L.U.
• Creditors’ rights: the sole shareholder and creditors may obtain the full text of the agreements and the merger balance sheets.

Labor and territorial impact

Pursuant to Article 44 of the consolidated text of the Workers’ Statute Law, a business succession will operate, therefore the employees of the intervening companies maintain their labor conditions. The legally required information has already been made available to the staff.

The operation affects two geographical areas: Valencia, the headquarters of the absorbing company’s activity, and A Coruña, where the Mercantile Registry of Taprega Prevención de Riesgos, S.L.U. is located. The announcement is signed in both cities on September 4, 2026.

Administration of the companies

The merger is signed by the representatives of the involved companies:

• Ms. Marta Santamarina Seco, natural person representative of Avanta Salud Integral, S.L.U., sole administrator of the absorbed company and joint administrator of the absorbing company.
• Mr. Antonio-Andrés Redondo Martínez, natural person representative of Ramazon Spain Topco, S.L., joint administrator of Avanta Prevención Integral, S.L.U.

The integration of Taprega into Avanta Prevención Integral consolidates the occupational risk prevention activities of both groups, with direct implications for the clients and workers of the prevention services in Valencia and A Coruña, who will now depend on a single absorbing company.
