Atlantic Green splits into Atlantic Blue and Royal Berries

Atlantic Green, S.L.U. has decided on its total spin-off in favor of two beneficiary companies, Atlantic Blue, S.L.U. and Royal Berries, S.L.U., according to the announcement published in the Official Gazette of the Mercantile Registry (BORME) number 179, dated September 16, 2026, page 6227, with reference BORME-C-2026-5002.
The decision was adopted on September 7, 2026, by the sole shareholder of the spun-off company, in compliance with the provisions of Article 10 of Royal Decree-Law 5/2023, of June 28, 2023. On that same date, the sole shareholders of the two beneficiary companies agreed to participate in the total spin-off process.
An improper and twin total spin-off
The operation is structured as a case of improper and twin total spin-off, pursuant to Articles 56, 59, and 63 of the aforementioned Royal Decree-Law 5/2023. This implies the extinction of Atlantic Green, S.L.U., whose assets are transferred en bloc by universal succession to two already existing companies, with the consequent dissolution without liquidation of the spun-off company.
The announcement is registered in the Second Section of the gazette, dedicated to announcements and legal notices, within the section for company spin-offs.
Rights of shareholders and creditors
The right of the shareholders and creditors of the participating companies to obtain the full text of the agreements adopted and the spin-off balance sheets is expressly stated. Shareholders, holders of special rights, and employee representatives, where applicable, may examine the documents referred to in Article 46 of Royal Decree-Law 5/2023 at the registered office.
Likewise, creditors are informed of their right to exercise the actions provided for in Article 13 of the aforementioned regulation.
