Astilleros Canarios calls meeting for dividend distribution

Astilleros Canarios, S.A. (Astican) has called its shareholders to an Extraordinary General Meeting to be held on the first call on October 9, 2026, at 10:00 AM, at the registered office located at Avenida de las Petrolíferas, s/n, Edificio Astican, 35008, Las Palmas de Gran Canaria. On the second call, the meeting will take place the following day, October 10, at the same location and time.
The call, agreed upon by the company’s Sole Administrator, Invencible Capital, S.L.U., is published in the Official Gazette of the Mercantile Registry (Boletín Oficial del Registro Mercantil) number 174, dated September 9, 2026, page 6109, with the official reference BORME-C-2026-4898.
Agenda
The Extraordinary General Meeting will submit the following points for shareholder approval:
- Examination and approval, where applicable, of the proposal for the distribution of dividends charged to voluntary reserves.
- Examination and approval, where applicable, of the proposal for the distribution of interim dividends charged to the results of the current financial year.
- Other business and questions.
- Approval of the minutes of the General Meeting or, where applicable, the appointment of scrutineers for such purpose.
Attendance Requirements
In accordance with Article 20 of the corporate Bylaws, to attend the Meeting, it will be necessary to have made the minimum deposit of five (5) shares at the registered office five (5) days in advance, or to justify their deposit in a banking entity prior to the holding of the Meeting. Attendees must provide the corresponding attendance card, which will be available to shareholders at the venue of the meeting until the designated time.
Corporate Context
Astilleros Canarios, S.A., known as Astican, is one of the main naval repair and maintenance companies in the Port of La Luz and Las Palmas. The call occurs following the expansion of its corporate purpose approved at the Extraordinary Meeting of June 5, 2026, and in a financial year in which the company has been renewing its administrative body, which currently rests with Invencible Capital, S.L.U., represented by Mr. Germán Carlos Suárez Calvo.
The decision to distribute dividends charged to voluntary reserves and as an advance on the results of the current financial year reflects the company’s desire to reward its shareholders, within a context of consolidating its activity in the naval repair sector in the Canary Islands.
