ASIC moves to deregister two Polen Capital global equity schemes
Por FactBox Admin

ASIC may deregister two Polen Capital managed investment schemes — the Polen Capital Global Growth Fund (ARSN 647 518 723) and the Polen Capital Global Small and Mid Cap Fund (ARSN 652 035 642) — two months after publication of its notice, unless it is given an acceptable reason not to proceed. The notice is published in the Commonwealth of Australia Gazette No. A44/26 of Wednesday 4 November 2026, under subsection 601PB(2) of the Corporations Act 2001, and is dated 30 October 2026. Investors in either scheme therefore have until early January 2027 to put a reason to the regulator.
The notice appears in the ASIC Gazette, the issue of the Commonwealth of Australia Gazette published by the Australian Securities and Investments Commission (ISSN 1445-6060 for the online edition). It sits in the “Company/scheme deregistrations” part of a 26-page issue, on page 24 of 26, immediately among the routine register-cleaning notices that close each weekly gazette.
The legal instrument cited is subsection 601PB(2) of the Corporations Act 2001. The gazette states the mechanism and its consequence in a single operative sentence: ASIC “may deregister the managed investment schemes listed below two months after the publication of this notice, unless given acceptable reason not to proceed”. The notice gives no grounds, no asset values and no statement of scheme performance; it is a procedural step, not a finding against either fund.
The two schemes named
Both entries are set out in a table headed “Name of Scheme” and “ARSN”, under the signature date of 30 October 2026:
- Polen Capital Global Growth Fund — Australian Registered Scheme Number 647 518 723.
- Polen Capital Global Small and Mid Cap Fund — Australian Registered Scheme Number 652 035 642.
The two funds are the only managed investment schemes listed in the notice. Their ARSNs are the identifiers investors should quote in any correspondence with the regulator or with the responsible entity.
A window of two months from publication
The clock runs from publication of the notice, not from its signing. With the gazette issued on Wednesday 4 November 2026, the two-month period described in the notice expires in the first days of January 2027, so any objection needs to be lodged before then.
The notice does not set out a form, an address or a fee for making a submission; it states only that ASIC must be given an “acceptable reason” not to proceed. If no such reason is accepted, deregistration follows automatically at the end of the period.
What else the same issue carries
The deregistration page sits alongside other register actions in the same 4 November issue:
- Page 25: under section 601CL(5), ASIC has struck CHANESMAN GLOBAL LLC-FZ (ARBN 676 726 873) off the register as a foreign company.
- Page 26: under subsection 164(3), TERRITORY MINERALS LTD (ACN 121 200 299) will change to a proprietary company limited by shares and be renamed TERRITORY MINERALS PTY LTD, one month after publication.
- The front of the issue reproduces the standard rights-of-review statement, pointing affected persons to Regulatory Guide 57 (RG57) and the information sheet ASIC decisions – your rights (INFO 9).
The practical effect falls on anyone holding an interest in either Polen Capital scheme: deregistration ends the scheme as a registered managed investment scheme, and the gazette notice is the only public warning of the date on which that happens. Members who believe the schemes should continue have roughly eight weeks from publication to make their case, and the deadline falls in the first week of January 2027.
