Zener Elevators absorbs Salmantinos Elevators and the Salmantino company is dissolved

Ascensores Zener Grupo Armoniza, S.L. Unipersonal has absorbed Ascensores Salmantinos, S.L. Unipersonal, in a concentration operation within the elevator sector in Castilla y León. The agreement was approved on September 1, 2026, by the Sole Shareholders of both companies and was made public in the Official Gazette of the Mercantile Registry (BORME) number 172, dated September 7, 2026, page 6078, with the official reference BORME-C-2026-4872.

The operation is formalized under Article 10 of Royal Decree-Law 5/2023, of June 28, which regulates the legal regime applicable to the structural modifications of commercial companies. The common merger project by absorption was formulated by the administrative bodies of both companies on June 30, 2026, and the announcement was signed in Valladolid and Salamanca on September 2, 2026.

Terms of the merger

The merger involves the block transfer of assets from the Absorbed Company to the Absorbing Company, as well as the dissolution without liquidation of Ascensores Salmantinos, S.L. Unipersonal, a circumstance that entails the extinction of the latter.

Rights of shareholders and creditors

Pursuant to Article 10 of RDL 5/2023, it is expressly stated that the Sole Shareholders and the creditors of the Absorbed Company and the Absorbing Company have the right to obtain the full text of the merger agreements adopted and the approved merger balance sheets.

Administration and signature

The announcement is signed by Rubén Saúl de Pedro Pardo, in his capacity as the natural person designated by Armoniza Grupo Empresarial, S.L. to hold the position of Sole Administrator of the absorbing company, and in his capacity as the natural person designated by Ascensores Zener Grupo Armoniza, S.L. Unipersonal to hold the same position in the absorbed company.

The operation strengthens the position of Ascensores Zener Grupo Armoniza in the Castilla y León market by integrating the activity of the Salamanca-based company and concentrating the maintenance, installation, and conservation of elevators in the region within a single company. For customers and creditors of the absorbed company, the merger entails the subrogation of the absorbing company into all its assets and obligations, with the information guarantees provided for in the structural modification regulations.
