Algebeli increases capital by 262,462 euros and raises it to 5.2 million

The Mallorcan company Algebeli, S.A. has increased its share capital by 262,462.71 euros through the issuance of 43,671 new shares, all of which were fully subscribed and paid up by Bajame, S.L. The agreement was unanimously adopted by the Universal Extraordinary General Meeting of shareholders held in Playas de Muro on March 26, 2026, and is published in the Official Gazette of the Mercantile Registry (BORME) number 169, dated September 2, 2026.

The operation, registered in the Second Section of the gazette (announcements and legal notices), corresponds to an ordinary capital increase agreed upon by the company’s corporate body, headquartered in the Mallorcan municipality of Playas de Muro. As a result of the increase, the share capital of Algebeli, S.A. is set at 5,229,006.51 euros, divided into 870,051 registered shares with a nominal value of 6.01 euros each.

Operation Details

The increase was implemented through the issuance of newly created registered shares, issued at par and without an issuance premium. The main data of the operation are as follows:

  • Amount of the increase: 262,462.71 euros.
  • Number of shares issued: 43,671 registered shares.
  • Nominal value per share: 6.01 euros.
  • Numbering of the new shares: from 826,381 to 870,051, both inclusive.
  • Subscriber: Bajame, S.L., which subscribed and paid for all the shares.
  • Resulting capital: 5,229,006.51 euros, divided into 870,051 shares of a single class and series, fully subscribed and paid up.

Statutory Modification and Signature

As a consequence of the increase, the meeting agreed to modify Article 5 of the Bylaws, relating to the share capital, to reflect the new figure and the resulting number of shares. The announcement was signed in Playas de Muro on August 26, 2026, by the Secretary of the Board of Directors, Mr. Gregorio Codolá Bonet.

The increase is added to other operations regarding the company’s capital published in the same issue of the gazette, including a capital reduction agreed upon in 2021 through the amortization of treasury shares, reflecting an active management of the Balearic company’s shareholding structure.
