Por FactBox Admin

The Board of Directors of Alai Squash Club, S.A. has convened its shareholders to an Ordinary General Meeting for November 30, 2026, at 9:00 a.m., on first call, with the stated objective of ending the “current situation of paralysis of the corporate bodies and functional acephaly of the administrative body.” The notice is published in the Second Section of the Official Gazette of the Mercantile Registry (BORME) no. 208, of October 28, 2026, pages 7043-7044, with the official reference BORME-C-2026-5679.
Location, dates, and double call
The meeting will be held in Bilbao, at Simón Bolívar street number 27, 1.º p-28, and provides for two consecutive calls: shareholders are summoned at 9:00 a.m. on November 30, 2026, on first call and, should the necessary quorum not be reached, on December 1, 2026, at the same location and time, on second call.
The company convenes under the format of an ordinary meeting, but with an unusual temporal scope: the agenda is not limited to the preceding financial year, but accumulates four years of unapproved accounting documentation.
- First: appointment or re-election of expired and/or lapsed positions to end the paralysis of the corporate bodies and the functional acephaly of the administrative body.
- Second: approval of the annual accounts for the financial years 2025, 2024, 2023, and 2022.
- Third: approval, where applicable, of the proposed application of the results for the financial years ending December 31, 2025, 2024, 2023, and 2022.
- Fourth: approval, where applicable, of the corporate management for those same four financial years.
- Fifth: delegation of powers.
- Sixth: approval, where applicable, of the minutes of the meeting.
Rights granted to shareholders
The notice details the legal framework protecting participation in the meeting, with express mention of the Capital Companies Act (LSC) in several of its articles.
- Article 272 of the LSC: any shareholder may examine at the registered office and request the immediate and free delivery or sending of the individual annual accounts for 2025, 2024, 2023, and 2022 from the call notice itself.
- Article 197 of the LSC: up to the seventh day prior to the meeting, shareholders may request from the board any information or clarifications they deem necessary regarding the items on the agenda, or submit questions in writing.
- Article 172 of the LSC: shareholders representing at least 5% of the share capital may request the publication of a supplement to the call notice with new items. The formal notification must be received at the registered office within five days following the publication of this announcement, and the supplement shall be published at least fifteen days prior to the date of the meeting on first call.
- Article 184 of the LSC: any shareholder with the right to attend may be represented by another person, even if they are not a shareholder, by means of a power of attorney granted in writing or through remote communication means, specifically for each meeting.
Who signs the call notice
The announcement is signed in Bilbao, dated October 19, 2026, by Luis Minayo Conde, in his capacity as Secretary of the Board of Directors. The document bears the identifier A260045688-1 and verification is available on the electronic office of the body, and it is framed within the section for meeting calls in the announcements and legal notices section of the bulletin.
A call notice of relevance for partners and creditors
The meeting on November 30 is, in practice, the first opportunity in four years for the shareholders of Alai Squash Club, S.A. to review and vote on accounts and management that had gone several accumulated years without formal approval, and for the club to reconstitute administrative bodies that the call notice itself describes as paralyzed and in functional leadership vacuum. For partners and creditors, the outcome of the meeting will determine who is responsible at the head of the company and with which regularized accounts, an indispensable preliminary step for any operation with the entity or for demanding accountability for the management of the fiscal years closed between 2022 and 2025.
