Air Europa changes its CEO and grants individual power to the chairman

Air Europa Líneas Aéreas SA has registered the cessation of Juan José Hidalgo Acera as joint chief executive officer and the appointment of Juan Moral de la Rosa and Félix Ruiz Hernández as new directors. The operation, along with a statutory change that attributes the individual representation of the company to whoever holds the presidency, is published in the Official Gazette of the Mercantile Registry (BORME) no. 204, dated October 22, 2026, with the official reference BORME-A-2026-204-07.

The entry appears in the First Section, Entrepreneurs, Registered Acts, under the heading of Illes Balears and under the Mercantile Registry of Palma de Mallorca. It corresponds to order number 469519 and registration 273 of registration sheet PM 4757, with a registration date of October 16, 2026.

The immediate precedent in the gazette is from January: in BORME no. 12, dated January 20, 2026, the same company registered the reelection of Juan José Hidalgo Acera as director, president, and joint chief executive officer (registration 261, dated January 13, 2026). Nine months later, the joint chief executive position is left vacant and representation is reorganized via statutory means.

A handover in the board of directors

The registry entry details the movements approved in the administrative body:

• Cessation of Juan José Hidalgo Acera as joint chief executive officer (Cons.Del.Sol.).
• Cessation of Ramiro Campos Gallego as non-director secretary.

New Article 25 bis: representation passes to the president

The registration includes a significant statutory modification: it is agreed to attribute the power of representation on an individual basis to the person who at any given time holds the position of president of the board of directors. To this end, a new Article 25 bis is incorporated into the corporate bylaws.

Until now, executive representation corresponded to a joint chief executive officer, a figure that disappears from the entry. With the new wording, the company’s signature is linked to the presidency on an individual basis, without the need for joint action by several proxies or chief executive officers.

On the same day and on the same page of the gazette, the group’s parent company, Air Europa Holding SL, is registered under order number 469520 and registration 28 of sheet PM 87946, also dated October 16, 2026.

In the parent company, the movement is parallel:

• Cessation of Juan José Hidalgo Acera as chief executive officer (CEO).
• Cessation of Ramiro Campos Gallego as non-director secretary.
• Appointment of Juan Moral de la Rosa and Félix Ruiz Hernández as directors.
• Appointment of José María García Santos as non-director secretary.
• New article 10 bis of the bylaws, with the same individual representation rule in favor of the presidency.

The coincidence of names, dates, and statutory content in the two companies indicates a coordinated corporate governance operation within the group, rather than an isolated adjustment of a subsidiary.

The handover reorganizes the leadership of the airline with its registered office in Palma de Mallorca: executive management is no longer formally delegated to a joint CEO, and the company’s representation is concentrated in the presidency, while two new directors and a new non-director secretary take their positions on the board.
