Agrouva will submit the sale of land and water rights to Minera Carola to the board

Agrouva SpA has called its shareholders for a second time to an extraordinary meeting to be held on August 26, 2026, at 12:00 p.m. at Enrique Foster Norte 0115, Las Condes, Santiago, to submit for approval the disposal of real estate and water use rights to Sociedad Contractual Minera Carola. The operation is carried out in compliance with a final and binding resolution issued in an arbitration proceeding. The notice is published in the Official Gazette of the Republic of Chile, No. 44,531, dated Saturday, August 22, 2026, section IV, with reference CVE 2858705.

The summons is made pursuant to the Twenty-First article of the company’s bylaws. The disposal responds to the final and binding resolution of November 20, 2025, issued by the S.J.A. Herman Chadwick in the proceedings titled “Grupo Segundo-Teresa y Magdalena Gómez Pacheco y otros con Jonás Gómez Pacheco y otros”, arbitration originating from the Framework Agreement of May 23, 2019, signed by the company.

The real estate to be disposed of

The meeting must approve the transfer to Sociedad Contractual Minera Carola of two properties located in the commune of Tierra Amarilla, province of Copiapó, Third Region of Atacama:

• Lot A, resulting from the subdivision of Fundo Alianza de Tierra Amarilla, rol 68-80.
• Lot A Puntilla de Batea, rol 47-4.

The water use rights

Along with the properties, three water use rights are being disposed of, all in the commune of Tierra Amarilla:

• Groundwater right extracted from a well fifty meters deep, with a flow rate of 79 liters per second for permanent and continuous use, on the fiscal property Lot A, Puntilla de Bateas sector.
• Right to waters of the Copiapó River captured by the Mal Paso Canal, whose intake is on its right bank, approximately three kilometers downstream from the Cerrillos Bridge; consumptive, of permanent and alternating exercise, for 70.7 shares.
• Groundwater right, consumptive, of permanent and continuous exercise, for 63.46 liters per second, over a well in the agricultural sector of the expropriation exclusion of the properties Jotabeche, Alianza, and Totoralillo.

Scope of the meeting and participation

In addition to the disposal, the meeting must adopt and approve all agreements, documents, and bylaw amendments necessary to materialize the decisions that are resolved. Shareholders registered in the Shareholders’ Registry at the time the meeting begins shall have the right to participate, and the qualification of powers will take place on the same day, half an hour before the start. The notice is signed by director Segundo Gómez Sarué.

The operation materializes the fulfillment of a final arbitral award and entails the transfer of strategic assets—land and water rights—in a mining and agricultural zone of the Atacama Region. For the shareholders of Agrouva SpA and for the community of Tierra Amarilla, the decision of August 26 will define the fate of water resources and land key to local productive activity.
